    How does one go about selling a small business? What is the process? Anybody that can assist with this?

    Baie maklik. Jy verkoop net jou ledebelang. Die nuwe eienaar se besonderhede word by die Maatskappye (CIPRO) kantoor geregistreer en dis dit. Dit is 'n vorm wat voltooi en ingedien word. Enige ouditeur sal ook kan help daarmee.

    Omdat die BK 'n regspersoon is behoort die bates en laste, kontrakte ens. aan die BK

    Daar is 'n paar goed wat mens moet onthou. As jy bv. borg gestaan het vir die BK vir 'n rekening by 'n verskaffer sal die nuwe eienaar moet borg staan anders gaan jy aangespreek word as hy die rekening nie betaal nie.

    En dan goed soos die bank besonderhede (om aan te teken vir Internet bank dienste) en kontak nommers en eposse ens sal verander moet word. SARS aanteken besonderhede.

    Enige ander rekeninge wat jy in jou persoon gehad het en nie in die naam van die BK bv huur van perseel, selfoon of landlyn sal gekanseller of oorgedra moet word.

    Gewoonlik is die grootste uitdaging om 'n akkurate waarde aan die besigheid te koppel.

    I would say a business broker, but i have no idea, not having gone through the process myself. I think more typically, one is approached by someone in the same field, looking for a growth by acquisition strategy and feels that the company may add something that will either take them too long to develop themselves, or they just want your customer base, or they feel it will be complimentary to their existing business.

    I think the real trick is to determine the fair value of the company and, small owner run businesses, are often a bit of an empty shell without the owner, so apart from properties and machinery, it becomes difficult to determine what else one is buying.

    'n business broker is soos 'n eiendoms agent, en daarby moet ek se jy kry goeies en minder goeies. En hulle wil komisie he.

    sien 'n prokureer, as jy reeds 'n prys het is dit net 'n kontrak.

    daar is aanspreeklikheids verskille en belasting gevolge in hoe jy dit verkoop. jy kan net die bates in die cc verkoop of die cc met alles in.

    'n prokureer behoort beste advies te kan gee

    Have you already determined a value? What do you need assistance with?

    I can help with the financial advise side of the transaction and give a valuation on info available, but you would preferably need to get a lawyer to do the contracts. We also do the company secretarial side of the transaction by transferring the shares/membership at CIPC if needed.
    I am not a business broker so won't be able to get a buyer for you, if that is what your question relates to.

    Attorney can help. As have been mentioned before, it is a sale of members interest what you described. But do chat about options. Depending on purchase price, to sell the business as a going concern will work wonders as you can, under certain circumstances, zero rate it for tax purposes. Is there an immovable property involved? (Zero rating equally wonderful if possible, as the property can be sold as a letting business separately) There are a few hoops to jump through do (Sec 34 of Insolvency act, may be applicable)

    Hi Uys

    We sell businesses for a living (amongst other things). In fact we have sold some high profile companies over the years.

    Depending on the size of your business, we would be willing to assist. I.e. the quantum of the fee that we could make out of the transaction. We are therefore aligned with you to sell the business at as high a price as possible.

    The easy part is going through the mechanisms of selling the business. I.e. the valuing of the business, the drafting of the legals, the due diligence, the advising on the tax structuring of the disposal, the secretarial work, etc.

    The difficult part is the finding of a buyer, and getting the highest price one can out of them. That is where we would add the most value.

    Normally, the selling of a business is a once-in-a-lifetime occurrence for someone. You want to be sure that you make the most money out of it that you can.

    Afhangende van die aard van die besigheid, sal die meeste kopers die "going concern" wil oorneem SONDER om die maaatskappy oor te neem.Jy sien, as hulle die maatskappy oorneem, dan word hulle aanspreeklik vir die maatskappy se laste, en die ergste is as SARS skielik 3 jaar later besluit om die ou boeke te oudit, en jy sit met n tameletjie en die vorige eienaar trek net sy skouers op. ( en moenie dink jy kan jouself hierteen beskerm met kontrakte nie, dit is die rede hoekom meeste kopers NIE die onderliggende entiteit wil he nie) Daar is ander redes ook, bv as ek jou aandele koop, dan kan ek nie waardevermindering eis nie. Aan die ander kant, as ek jou bates koop, dan kan ek waardevermindering daarop eis wat vir my groot belasting voordele inhou. So daar is allerhande tricks. C

    I don't know if Uys is referring to selling his own business, but as somebody alluded to. If the value of the company is in the key person / owner selling, then you are not selling a business, you are selling some and empty shell with some disposable assets.
